AutonomLayer — Terms of Service

Terms governing access to AutonomLayer websites, APIs, macOS software, and subscription services.


Introduction

These Terms of Service ("Terms") govern your access to and use of autonomlayer.com, our macOS application, APIs, and related services (collectively, the "Services"). The Services are operated by **AutonomLayer (a project of its founders, legal entity pending formation)** ("AutonomLayer," "we," "us," or "our").

By creating an account, downloading software, or using the Services, you agree to these Terms, our Privacy Policy, and our EULA for downloadable software. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

1. Eligibility and Accounts

You must be at least 16 years old (or the age of digital consent in your jurisdiction, if higher) and able to form a binding contract. If you are in the United States and under 13, you may not use the Services.

You are responsible for:

- maintaining the security of your account credentials

- all activity under your account

- providing accurate information

Notify us promptly at support@autonomlayer.com of unauthorized access. We may suspend or terminate accounts that violate these Terms or provide false information.

2. The AutonomLayer Service

AutonomLayer provides mission orchestration for macOS, including structured AI-assisted planning and automation in third-party IDEs you configure (such as Cursor, Codex, or Claude).

The Services may include:

- account registration and cloud sync

- mission planning, templates, and execution metadata

- macOS app updates and device pairing

- subscription billing and plan limits

- support, feedback, and product communications

Features may change over time. AutonomLayer may be offered as a beta or early-access product; you use beta features at your own risk.

3. Subscriptions and Billing

Paid plans are billed through Stripe according to pricing shown at checkout. Subscriptions renew automatically until cancelled through billing settings or by contacting support before the next renewal date.

California Automatic Renewal Law: if you are a California consumer, we provide clear renewal terms, an easy cancellation method, and renewal reminders as required by California law.

EU/UK consumers: where applicable, you may have a 14-day right to withdraw from distance contracts for digital services unless you expressly request immediate performance and acknowledge loss of the withdrawal right at checkout, as required by local law.

Fees are non-refundable except where required by applicable law or expressly stated by us. We may change prices or plan features with reasonable advance notice.

4. Third-Party Tools

AutonomLayer orchestrates work in third-party tools on your Mac. We do not provide, control, or endorse those tools and are not responsible for their availability, pricing, terms, security, or output. You must comply with all applicable third-party licenses and terms. IDE and model costs are separate from AutonomLayer subscriptions unless explicitly stated.

5. Your Content and Missions

You retain ownership of your code and content. You grant AutonomLayer a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and store mission prompts, metadata, avatars, feedback, and related content solely to provide, secure, troubleshoot, and improve the Services.

You represent that you have all rights needed to submit content and that your use complies with applicable law and third-party obligations (including employer, client, and open-source license obligations).

You are solely responsible for reviewing AI-generated output, maintaining backups, running security and license checks, and ensuring compliance with laws applicable to your projects.

6. Acceptable Use

You agree NOT to:

- violate law or others' rights

- distribute malware or probe systems without authorization

- circumvent technical limits, security, or plan restrictions

- scrape, overload, or interfere with the Services

- misrepresent identity or generate illegal, harmful, or abusive content

- use the Services in high-risk environments where failure could cause death, personal injury, or severe property or environmental damage

We may investigate violations and suspend or terminate access.

7. AI Features

The Services may process your inputs through AI systems to generate plans, suggestions, or automation steps.

You acknowledge:

- AI outputs may be inaccurate, incomplete, insecure, non-original, or infringing

- AI is NOT legal, medical, financial, or professional advice

- you are responsible for independently reviewing all output before relying on it in production

- third-party AI providers process data under their own terms when you use their products

8. Feedback and Support

If you submit feedback, suggestions, or support messages, you grant us the right to use them to operate and improve the Services without restriction or compensation, subject to our Privacy Policy.

We may review account data, missions, feedback, or communications when necessary for support, abuse prevention, security, legal compliance, or enforcement of these Terms.

9. Copyright (DMCA)

If you believe content on the Services infringes your copyright, send a notice to legal@autonomlayer.com with:

- identification of the copyrighted work

- identification of the material and its location

- your contact information

- a good-faith statement and statement under penalty of perjury

- your physical or electronic signature

We may remove material and terminate repeat infringers.

10. Privacy

Use of the Services is governed by our Privacy Policy. By using AutonomLayer, you acknowledge that personal data will be processed as described there, including limited operator access through admin tools for support and security.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access for violation of these Terms, suspected abuse, non-payment, legal compliance, or operational reasons.

Upon termination, your right to use the Services ends. Provisions that by their nature should survive will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

12. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTONOMLAYER AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100, EXCEPT WHERE LIABILITY CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

14. Indemnification

To the extent permitted by applicable law, you will defend, indemnify, and hold harmless AutonomLayer from claims arising from your content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules, except that mandatory consumer protection laws in your country of residence apply where they cannot be waived by contract.

If you are a consumer in the EEA, UK, or another jurisdiction with mandatory local forum rules, you may bring claims in your local courts as required by law.

For other disputes, you and AutonomLayer agree to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County, California, except where prohibited by law.

Before filing a claim, contact legal@autonomlayer.com and attempt to resolve the dispute informally for at least 30 days.

16. Changes

We may update these Terms. Material changes will be posted on this page with an updated effective date and, where appropriate, additional notice. Continued use after the effective date constitutes acceptance, except where applicable law requires otherwise.
